1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Member," or "you") and Kapur Capital LLC, a Florida limited liability company doing business as Brisa Padel ("Brisa Padel," "we," "us," or "our"), governing your access to and use of the Brisa Padel website, mobile platform, matchmaking services, WhatsApp communications, and any related services (collectively, the "Services"). By submitting a membership application, creating an account, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Services. We reserve the right to amend these Terms at any time. Material changes will be communicated via email or WhatsApp to active members. Continued use of the Services after any modification constitutes your acceptance of the updated Terms.
2. Eligibility
The Services are intended for individuals who are at least 18 years of age. By using the Services, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding agreement. Membership is granted at the sole discretion of Brisa Padel and may be denied, suspended, or revoked at any time without cause.
3. Membership & Access
Membership at Brisa Padel is by application only. Submission of an application does not guarantee acceptance. Upon approval, members receive access to the matchmaking platform, weekly match suggestions, and community features. Membership is personal and non-transferable. Members are responsible for maintaining the confidentiality of their account credentials. You agree to notify us immediately of any unauthorized use of your account. Brisa Padel is not liable for any loss resulting from unauthorized use of your account. We reserve the right to suspend or permanently terminate any membership that violates these Terms, engages in abusive or unsportsmanlike conduct, or is otherwise deemed detrimental to the Brisa Padel community.
4. WhatsApp Communications & TCPA Consent
By submitting a membership application and checking the consent box, you expressly consent to receive automated and manually initiated messages from Brisa Padel via WhatsApp at the phone number you provide. These messages may include, but are not limited to: weekly match suggestions, availability prompts, post-match rating requests, community updates, administrative notices, and service announcements. Message frequency will vary based on your activity and weekly match cycles. Standard messaging rates from your mobile carrier may apply. You may opt out of WhatsApp communications at any time by replying STOP to any message or by contacting us at [email protected]. Note that opting out of communications may limit or terminate your access to the matchmaking Services. By consenting, you acknowledge that your consent is not a condition of purchasing any goods or services. This consent is provided in accordance with the Telephone Consumer Protection Act (TCPA) and applicable Florida law.
5. Matchmaking Services
Brisa Padel provides an AI-assisted padel matchmaking platform designed to suggest compatible match pairings based on player data including skill level, availability, preferred clubs, play style, and post-match ratings ("Matchmaking Services"). Match suggestions are generated algorithmically and reviewed by Brisa Padel administrators before being sent to members. Brisa Padel does not guarantee the quality, outcome, or safety of any match arranged through the platform. Participation in any match is entirely voluntary and at your own risk. Brisa Padel is not responsible for the conduct of any member during or after a match, for court conditions at any third-party venue, or for any disputes arising between members. Members are solely responsible for confirming court bookings, fees, and logistics with the relevant club or facility.
6. Player Ratings & Data
By participating in the Services, you agree that Brisa Padel may collect, store, and process data related to your match history, post-match ratings submitted by you and other members, availability patterns, and engagement with the platform. This data is used to improve matchmaking accuracy and personalize your experience. Post-match ratings are confidential and are used solely for internal algorithmic purposes. Individual ratings submitted about you by other members will not be shared with you in identifiable form. Brisa Padel reserves the right to use aggregated, anonymized data for product development, research, and marketing purposes.
7. Code of Conduct
All members are expected to conduct themselves with respect, sportsmanship, and integrity at all times — both on and off the court and in all communications through the platform. The following conduct is strictly prohibited: Harassment, discrimination, or abusive language directed at any member, staff, or third party; intentional damage to club property or equipment; misrepresentation of skill level or identity; sharing another member's personal information without their consent; use of the platform for any commercial solicitation not authorized by Brisa Padel. Violations of this code may result in immediate suspension or permanent termination of membership without refund. Brisa Padel reserves the right to determine, in its sole discretion, what constitutes a violation.
8. Fees & Payments
Any membership fees, court booking fees, or service charges are due at the time of purchase and are non-refundable except as required by applicable law. Brisa Padel reserves the right to modify its fee structure with at least 30 days' written notice to active members. Brisa Padel does not directly book or charge for court time at third-party venues. Any court fees are the sole responsibility of the member and are subject to the terms of the relevant club or facility.
9. Health, Safety & Assumption of Risk
Participation in padel and any physical activity arranged through the Services involves inherent risks of physical injury. By using the Services, you voluntarily assume all risks associated with participation in padel matches, clinics, or lessons arranged through the platform. Brisa Padel strongly recommends that all members consult a licensed physician before engaging in physical activity, particularly if they have any pre-existing medical conditions. Appropriate athletic footwear and protective eyewear are recommended at all times during play. Brisa Padel is not liable for any personal injury, illness, or death sustained in connection with participation in any match or activity arranged through the Services.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Kapur Capital LLC, its members, managers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or personal injury, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages. Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees paid by you to Brisa Padel in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100.00). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Kapur Capital LLC and its members, managers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including privacy or intellectual property rights; or (d) any conduct or content you submit through the platform.
12. Intellectual Property
All content, trademarks, logos, software, and materials available through the Services are the exclusive property of Kapur Capital LLC or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written consent.
13. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be submitted to good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with proceedings conducted in Miami-Dade County, Florida. You waive any right to participate in a class action lawsuit or class-wide arbitration. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.
15. Termination
Brisa Padel may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 10, 11, 13, and 14.
16. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kapur Capital LLC with respect to the Services and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
